Holiday home management contract in Dubai: the 6 clauses to read before you sign

Term, exclusivity, damage, termination, listing ownership, reviews: for each clause, the balanced wording and the trap wording, with sample extracts.

In a holiday home management contract in Dubai, six clauses decide what you can do with your property and how you leave: term, exclusivity, damage, termination, listing ownership and reviews. For each one, here is what a balanced clause says and what a trap clause says.

Term of a holiday home management contract in Dubai: initial commitment and renewal

The term clause sets how long you cannot leave without paying. In Dubai, the Holiday Home permit issued by the Department of Economy and Tourism (DET) is issued for 3 to 12 months, then renewed. Read the contract term and the permit calendar together: who renews the permit, and by what date.

What a balanced clause says

"The agreement takes effect on [date]. Either party may end it at any time with [X] months' written notice. The manager renews the Holiday Home permit before it expires on [date] and sends the owner a copy."

What a trap clause says

"The agreement is entered into for an initial term of 24 months. It renews automatically for identical periods unless either party gives written notice at least 90 days before expiry."

  • Automatic renewal: miss the notice window by a few days and you are committed for another full period.
  • Long initial term: it only bites when an exit fee comes with it. Read both clauses together.
  • No mention of the permit: nobody is bound in writing to renew it, and a listing without a valid permit can no longer be distributed. The full process is in our DET permit guide.

Exclusivity clause in a short-term rental management agreement: what you keep the right to do

Management exclusivity is normal: two operators cannot run the same calendar. The risk lies in the scope of the exclusivity. Broad wording takes away the use of your own property, or charges you a commission on stays the manager did not bring in.

What a balanced clause says

"The manager alone may market the property for short-term rental during the agreement. The owner may block dates for personal use with [X] days' notice, with no commission. The owner remains free to sell the property or let it on an annual lease; a sale or annual lease ends the agreement after the agreed notice."

What a trap clause says

"Every booking of the property, whatever its source, is subject to the manager's commission. The owner shall not let the property, directly or through a third party, to any guest who stayed through the manager, for 24 months after the agreement ends."

  • "Whatever its source": your own stays, your family's and a let you found yourself all become commissionable.
  • Restriction after the agreement: it follows you after you leave. Ask for it to be limited to the term of the agreement.
  • No provision for a sale: ask for the sale of the property to be a ground for exit, with short notice and no commission on the price.

Damage clause: who records, who claims and who pays

Guest damage is recovered from the platform under strict deadlines. On Airbnb, Host Damage Protection covers up to USD 3 million per stay. Under its terms, the host contacts the guest through the Resolution Center within 14 days of checkout, then files the request within 30 days. Normal wear and tear and lack of maintenance are excluded. Only the listing holder can take these steps: if that is your manager, the contract must require them to.

What a balanced clause says

"At every checkout, the manager photographs the property and keeps the dated photos. The manager reports any damage to the owner within [X] hours, files the claim with the platform within the platform's deadlines and pays any amount recovered on the next statement. Any repair costing more than AED [amount] requires the owner's written approval, on a quote. The manager is liable for damage caused by its staff or contractors."

What a trap clause says

"The manager shall not be liable for any damage to the property, whatever the cause. Repairs are carried out by the manager's contractors and recharged to the owner."

  • Blanket exclusion of liability: it also covers the manager's own negligence, such as a claim filed too late.
  • Repairs with no threshold and no quote: you find out the amount on the statement.
  • Insurance: the clause should state who insures the contents and the liability arising from operating the property, with certificates attached.

Termination clause in a Dubai property management agreement: notice, exit fee, confirmed bookings

The termination clause states what leaving costs and what happens on the day it takes effect. For contracts signed since 1 June 2026, when the new UAE Civil Transactions Law (Federal Decree-Law No. 25 of 2025) came into force, Article 340 allows the court to reduce pre-agreed compensation found to be excessive. Any clause excluding that control is void. Going to court takes time: the negotiation happens before you sign.

What a balanced clause says

"The owner may terminate with [X] months' notice and no fee. The owner may terminate without notice if the monthly payout is more than [X] days late or if the permit lapses through the manager's fault. On the end date, the manager hands over keys, access codes, statements, invoices and deposits within [X] days, and cooperates in cancelling or transferring the permit. Confirmed stays are honoured; commission remains due only on the stays the manager hosts itself."

What a trap clause says

"If the agreement is terminated before its term, the owner pays the manager a fee equal to the commissions of the previous 12 months. Commission remains due on all bookings in the calendar at the termination date."

  • Flat exit fee: calculated on a year of commissions, it can exceed what your departure actually costs the manager.
  • Commission on the whole calendar: you pay twice for stays your new manager will host.
  • Permit: DET provides a cancellation procedure on the Holiday Homes portal, with administration fees. The contract should say who starts it, within what deadline, and who pays the fees.

The questions to ask on these points before signing are in our list of 15 questions.

Listing and review ownership: two clauses so you do not start from zero

Airbnb does not transfer a listing from one account to another, and reviews appear on the listing holder's profile. Removing and re-creating a listing deletes all its information and reviews. The mechanics are set out in our article on listing and review ownership. The contract has to settle two questions: who keeps the content, and what the manager may do with the listing.

Listing clause: what balanced wording says

"The listing is published on the owner's account; the manager acts as co-host. Texts and photographs produced for the property are handed to the owner, who may use them freely after the agreement ends."

Listing clause: what a trap clause says

"All accounts, listings, content and photographs created by the manager remain its exclusive property." With this wording, when you leave you lose the listing, its history and photos you may have paid for.

Review clause: what balanced wording says

"The manager does not delete, merge or re-create the listing without the owner's written consent. The manager responds to reviews under a policy approved by the owner. When the agreement ends, the manager removes its co-host access within [X] days."

Review clause: what a trap clause says

"The manager may at any time edit, merge, delete or re-create the property's listings." A re-creation, even to correct an address, resets the review count to zero.

FAQ

Can I terminate a holiday home management contract in Dubai early?

Yes, under the notice and exit fee terms written into the contract. For contracts signed since 1 June 2026, the court may reduce pre-agreed compensation if it is excessive. A contract signed before that date remains under the previous Civil Code.

Does an exclusivity clause stop me staying in my own property?

It depends on the wording. Without an owner-use clause, your stays can be charged commission or refused. Ask for a set notice period and no commission on your own dates.

Who has to claim for damage caused by an Airbnb guest?

The host who holds the listing. They contact the guest within 14 days of checkout, then file the request within 30 days. If your manager holds the listing, the contract should require them to meet these deadlines and pay you any amount recovered.
